Please read the following terms and conditions carefully before you use our applications and related services from Codabrasoft LLC. Your use of the App will be subject to these Terms of Use (the "Terms"), and by using the App you agree to be bound by them.

1. Introduction

Codabrasoft LLC ("Codabrasoft", "We", "Us", "Our") develops the mobile applications to which these Terms apply (each, the "App"). Our Apple application may be downloaded from the App Store, which is operated and owned by Apple Inc. and other companies within its group ("Apple"). Our Android application may be downloaded from Google Play, which is owned and operated by Google LLC and other companies within its group ("Google").

The App uses artificial intelligence ("AI") technologies to identify coins, banknotes, exonumia (tokens and medals), rocks, minerals and gemstones, trading cards, and other collectible or similar items from photos that you take or upload, and provides related reference information, such as country of origin, year, mint, catalog details, and estimated market value ranges. The App also lets you organize and keep track of your personal collection (collectively, "Our Services").

The App and its content are provided for informational and entertainment purposes only. The App is not a professional grading, authentication, appraisal, or investment service. See Section 7 (Numismatic Information Disclaimer) below.

2. Acceptance of Terms and Conditions

By using the App and Our Services, you accept these Terms. If you do not accept these Terms, you may not use the App and Our Services. Codabrasoft LLC reserves the right to amend these Terms at any time. The most up-to-date version of these Terms will be available on the official website of Codabrasoft LLC, and any changes will come into effect immediately upon posting. By continuing to use the App and Our Services, you agree to the amended Terms.

3. Intellectual Property

The texts, graphics, designs, logos, button icons, images, data compilations, and information ("Content") contained in the App and Our Services are the intellectual property of Codabrasoft LLC (or belong to it) and are protected by copyright laws. All logos and trademarks displayed in the App and Our Services are registered trademarks or trademarks of Codabrasoft LLC. No trademarks may be used without prior written consent from Codabrasoft LLC, except to identify the products or services associated therewith. The App, all related software, and all patent rights (including patent applications and disclosures), copyrights, trade secrets, know-how, and any other intellectual property rights therein or relating thereto (including derivative works), are and shall remain the exclusive property of Codabrasoft LLC or its licensors.

Third-party catalog and reference data displayed in the App may be subject to the rights of the respective data providers.

4. Legality of Use and User Conduct

By using the App, you hereby warrant that: (i) all information and content contained in any submission by you (including photos) is either owned by you or you have obtained the necessary rights to submit it as set forth in these Terms; and (ii) the information and content contained in any submissions by you does not infringe on the intellectual property rights of others, including but not limited to copyright, trademark, patent, or trade secret rights.

Prohibited content and conduct. You may not use the App, including its camera and photo upload features, to create, upload, submit, store, or transmit any content that:

• is unlawful under any applicable law or regulation;
• constitutes nonconsensual intimate imagery ("NCII") or any sexually explicit or intimate imagery of a real person distributed or created without that person's consent, including imagery generated or altered using AI tools (such as "deepfakes");
• constitutes, depicts, or promotes child sexual abuse material ("CSAM") or in any way sexualizes or exploits minors;
• facilitates human trafficking or the exploitation of any person;
• is pornographic, or is defamatory, discriminatory, or harassing toward any person;
• infringes any third party's intellectual property, privacy, or publicity rights; or
• contains viruses, malware, or any code designed to disrupt or damage the App or Our Services.

Zero-tolerance policy. Any attempt to use the App or Our Services to upload, process, or distribute CSAM or content facilitating human trafficking or the exploitation of children will result in immediate and permanent termination of access to Our Services, and we will remove such material and report it and related information to the National Center for Missing & Exploited Children (NCMEC) and/or other competent law enforcement authorities as required by applicable law.

You accept full responsibility, assume all risk, and waive and/or release Us from any direct or indirect loss, injury, claim, or damage arising from your use of the App, to the maximum extent permitted by applicable law.

5. User Content, Moderation, and Reporting

"User Content" means any content you create, capture, upload, or submit through the App, including photos of coins, banknotes, and other items, and any notes or collection records.

Privacy of User Content. Your User Content is private to you: the App does not publish your photos, collection, or notes, and other users of the App cannot see or access them. Apart from your own User Content, everything you encounter in the App (catalog, reference, and valuation information) is provided by us, not by other users.

Your ownership; our license. You retain ownership of your User Content. You grant Codabrasoft a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, and process your User Content solely to the extent necessary to operate and provide Our Services (including transmitting photos to our AI service providers for identification, as described in our Privacy Policy), to provide customer support, to ensure safety and legal compliance, and to maintain and improve the quality of Our Services.

Moderation. We reserve the right, but have no obligation, to review, filter, flag, restrict, or remove User Content that violates these Terms, applicable law, or Apple's App Review Guidelines, and to restrict or terminate a violating user's access to Our Services. You may also request removal of your own User Content at any time by contacting us at [email protected].

Reporting ("Flag Content"). The App provides a mechanism (Settings → "Flag Content") to report inappropriate, offensive, or unlawful content, including NCII, CSAM, and other incidents. You can also report content or abuse at any time by contacting us at [email protected]. All reports are reviewed manually in accordance with our internal procedures. We act on objectionable content within 24 hours of receiving a report, including removing the content and/or restricting the responsible user's access where appropriate, and we will respond to your report with the outcome. The review itself is conducted internally; users do not participate in, and cannot otherwise interact with, the internal review process.

6. Premium Subscription

The App offers auto-renewable "Premium" subscriptions that grant you additional features, such as expanded coin identification, detailed valuation and catalog information, collection tools, and other premium functionality as described in the App at the point of purchase.

Some of our subscriptions include a free trial period, allowing you to experience the premium features of the App at no cost. We offer various subscription durations (for example, weekly, monthly, and annual options). Payment will be charged to your App Store (Apple Account) payment method upon confirmation of purchase. Paid subscriptions automatically renew until canceled in the Manage Subscriptions section of your device's account settings. We will notify you if the price of a paid subscription increases and, if required, seek your consent to continue. You will be charged no more than 24 hours before the start of the next paid subscription period.

If a paid subscription offers a free trial and you do not wish to be charged, cancel the subscription before the free trial ends.

7. Numismatic Information Disclaimer; Representations and Warranties; Limitation of Liability

Numismatic information disclaimer. Codabrasoft provides identification, catalog, and valuation information for coins, banknotes, and other collectible items for informational and entertainment purposes only. Identification results and value estimates are generated using AI and third-party reference data and may be inaccurate, incomplete, or out of date. Collectible market values fluctuate and depend on condition, grading, authenticity, and market demand, which the App cannot fully assess from a photo. The App is not a substitute for professional numismatic grading, authentication, or appraisal services, and nothing in the App constitutes financial, investment, tax, or legal advice, or an offer or solicitation to buy or sell any item. You should not make any financial, buying, or selling decisions based solely on the App's AI-generated results. Always consult a qualified professional (e.g., a certified numismatist or appraiser) before making decisions of material value.

Our Services and products are provided "as is" without any warranties, expressed or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Codabrasoft makes no representation or warranty that the information contained in Our Services will be current, timely, complete, accurate, or error-free. To the extent that the law does not permit the disclaimer of warranties, all content accessible in Our Services, or any other website linked to Our Services, is warranted only to the minimum amount legally required.

In no event shall Codabrasoft be liable to any party for any direct, indirect, special, or other consequential damages from any use of Our Services or any linked website, including, without limitation, any lost profits, business interruptions, or otherwise. Codabrasoft shall be liable as currently provided by law, regardless of the statutory basis of such liability (pre-contractual, contractual, tort), only if Codabrasoft has caused damage willfully or with gross negligence. In the event of slight negligence, Codabrasoft shall not be liable to other businesses and shall be liable to consumers only for personal damages. Codabrasoft shall not be liable to businesses for follow-on damages, mere pecuniary losses, lost profits, or damages resulting from claims of third parties. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

8. Privacy Policy

By using the App, you agree to the terms of our Privacy Policy, which can be found at https://codabrasoft.com/home/privacy-html. Please note that if you refuse to accept or comply with the Privacy Policy, we may refuse or limit your access to the App.

If you have an active Premium subscription and you do not accept any new Privacy Policy that we release in the future (which does not diminish your existing rights), we may refuse or limit your access to the App without compensating any fees already paid for your subscription. However, you can continue using the App once you accept the updated Privacy Policy.

Active acceptance of changes to the Privacy Policy is required only if we make material changes due to legal requirements or compliance procedures. These changes might include amendments to the types of personal data we collect, your rights, or changes in data processing purposes. For any technical or non-material changes, your continued use of the App will be considered as your valid consent to the updated Privacy Policy.

9. Maintenance

Codabrasoft is not liable for any outages or service interruptions that may occur while using the App, including those caused by software or hardware failures, power outages, or issues at the wireless carrier level. Additionally, Codabrasoft is not responsible for the performance or reliability of third-party products and services, including users' mobile handsets or wireless data networks.

Codabrasoft also reserves the right, at its sole discretion, to add or remove support for certain operating systems based on commercial factors, such as usage rates, adoption, and the overall appeal of the operating system.

10. Apple App Store Terms

The following terms apply if you downloaded the App from the Apple App Store:

1. Acknowledgement. These Terms are concluded between you and Codabrasoft only, and not with Apple. Codabrasoft, not Apple, is solely responsible for the App and its content. In the event of any conflict between these Terms and the Apple Media Services Terms and Conditions, the latter prevail with respect to your use of the App Store.
2. Scope of license. The license granted to you for the App is a non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions (except that the App may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing).
3. Maintenance and support. Codabrasoft is solely responsible for providing any maintenance and support services with respect to the App. You and we acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
4. Warranty. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Codabrasoft.
5. Product claims. You and we acknowledge that Codabrasoft, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including, but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
6. Intellectual property claims. You and we acknowledge that, in the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Codabrasoft, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
7. Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
8. Developer contact. Questions, complaints, and claims regarding the App should be directed to Codabrasoft LLC at the address and email in Section 14 below.
9. Third-party terms. You must comply with applicable third-party terms of agreement when using the App (for example, your wireless data service agreement).
10. Third-party beneficiary. You and we acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

11. Territory

The App is intended for use in the countries and regions where it is made available through the App Store or Google Play.

12. Governing Law

These Terms, as well as any non-contractual obligations arising from them and any litigation between users and Codabrasoft, will be governed by U.S. law. Any disputes related to these Terms, including those concerning non-contractual obligations, shall fall under the jurisdiction of the state and federal courts in Massachusetts, which will have non-exclusive jurisdiction to resolve such matters.

Consumers in the EU/EEA and the UK: nothing in this section deprives you of the protection afforded to you by provisions of law that cannot be derogated from by agreement under the mandatory consumer protection laws of the country in which you reside, and you may also bring proceedings in the courts of your country of residence.

13. Use by Minors

The App is not intended for children under the age of 16. If you become aware of anyone under 16 using the App, please contact us at [email protected], and we will take the necessary steps to delete their data and restrict their further use of the App.
